Welcome to mtm.business, operated by Modern Tech Media, LLC ("Modern Tech Media," "MTM," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the mtm.business website, MTM software, CRM, portals, dashboards, hosted forms, storefront, donations, events, analytics, support, custom development, and related services, including CRM/software installations that link to or reference these Terms (collectively, the "Services").
By accessing or using the Services, clicking to accept these Terms, signing an order, or using an account, you agree to these Terms. If you do not agree, do not use the Services.

1) Scope of Services
These Terms apply to the Services we own, operate, host, license, support, or provide, including:
- Public Sites: mtm.business, public policy pages, landing pages, contact forms, referral forms, review forms, and other pages we host or maintain.
- Software & CRM: dashboards, portals, accounts, customer records, leads, clients, companies, projects, tasks, files, notes, notifications, analytics, reports, permissions, and support tools.
- Commerce & Operations: storefront, checkout, orders, shipping or pickup workflows, customer accounts, subscriptions, donations, campaigns, events, tickets, registrations, forms, and related business workflows.
- Professional Services: website development, custom development, implementation, integrations, technical support, consulting, and related work described in an order, statement of work, proposal, invoice, or subscription plan.
If a separate signed order, statement of work, or written agreement applies to a specific project or service, that document controls if it conflicts with these Terms for that project or service.
2) Privacy
Please review our Privacy Policy, which describes how we collect, use, disclose, and protect information in connection with the Services. The Privacy Policy is incorporated into these Terms by reference.
3) Eligibility; Accounts
You must be 18 years of age or older, or the age of majority in your state, to create an account, purchase Services, or enter into a contract with MTM. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that company or organization to these Terms.
You are responsible for maintaining accurate account information, protecting account credentials, managing user permissions, and all activity that occurs under your account. Notify us promptly of suspected unauthorized access or security concerns.
4) Electronic Communications & E-Sign
You consent to receive communications from us electronically, including email, in-app messages, account notices, invoices, posted notices, and other electronic records. You agree that electronic communications, records, signatures, notices, and disclosures satisfy any legal requirement that they be in writing to the extent permitted by law.
5) License & Access
Subject to these Terms and any applicable order or subscription plan, MTM grants you a limited, revocable, nonexclusive, nontransferable, non-sublicensable license to access and use the Services for your internal business purposes or other expressly permitted use.
- No resale, sublicensing, rental, lease, timesharing, or service bureau use except as expressly authorized in writing.
- No scraping, data mining, robots, harvesting, or automated access except as expressly permitted by MTM.
- No copying, framing, mirroring, or enclosing MTM trademarks, content, or proprietary information without written consent.
- No use of the Services to build, benchmark, or train a competing product or service.
6) Client & User Responsibilities
Clients and users are responsible for how they configure and use the Services, including the legality, accuracy, quality, and appropriateness of content, products, services, campaigns, forms, customer records, lead data, employee data, event data, donor data, files, communications, and workflows they submit, upload, collect, or process.
- Notices & Consent: You are responsible for providing required notices and obtaining required permissions, consents, authorizations, and rights for information, content, messages, transactions, and integrations you use with the Services.
- End Users: If you operate a storefront, donation page, event page, form, portal, or CRM/software installation for your own customers, donors, attendees, leads, contacts, employees, or other end users, you are responsible for your relationship with those end users and for any terms, notices, refunds, fulfillment, tax, compliance, or customer service obligations that apply to your offerings.
- Permissions: You are responsible for assigning appropriate roles, limiting access to authorized users, removing access when no longer needed, and monitoring account activity.
- Compliance: You must use the Services only in compliance with applicable laws, contracts, third-party platform rules, payment network rules, and these Terms.
7) Acceptable Use
- No unlawful, fraudulent, deceptive, abusive, harmful, infringing, defamatory, obscene, harassing, discriminatory, or otherwise objectionable activity.
- No interference with, disruption of, overload of, or unauthorized access to the Services, networks, systems, accounts, or data.
- No reverse engineering, decompiling, disassembling, modifying, or creating derivative works from the Services except where restrictions are unenforceable under applicable law.
- No impersonation, misrepresentation, phishing, spoofing, spam, malware, malicious code, or unauthorized advertising or messaging.
- No collection, upload, or processing of information you are not authorized to collect, submit, access, use, or process.
8) User Content, Client Data & Feedback
"User Content" means content, files, data, records, text, images, media, documents, reviews, messages, feedback, products, service descriptions, campaign details, event details, customer information, donor information, lead information, and other materials submitted to or through the Services by you or on your behalf.
You retain ownership of your pre-existing User Content. You grant MTM a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, modify, and otherwise use User Content as needed to provide, secure, support, maintain, improve, and document the Services, comply with law, enforce these Terms, and exercise rights under an applicable order or agreement.
You represent and warrant that you have all rights, permissions, notices, consents, and lawful bases needed to submit User Content and allow MTM to process it as described in these Terms and the Privacy Policy. MTM may, but is not obligated to, monitor, edit, disable, or remove User Content that may violate these Terms or law.
9) Reviews, Testimonials & Referrals
If you submit a review, testimonial, referral, rating, case-study input, comment, or similar feedback, you represent that it is truthful, reflects your honest experience or opinion, and does not include confidential information or violate anyone's rights. You are responsible for disclosing any material connection if required by law or platform rules.
You grant MTM permission to use, reproduce, publish, display, edit for length or clarity, and distribute your feedback, name, company name, and related non-confidential information for operating, improving, and promoting the Services, unless we agree otherwise in writing.
10) Intellectual Property
The Services, software, interfaces, designs, workflows, databases, templates, libraries, code, documentation, content, trademarks, service marks, logos, and know-how are owned by MTM or its licensors and are protected by U.S. and international intellectual property laws.
Trademarks: "Modern Tech Media," "MTM," "mtm.business," and associated marks are MTM trademarks or service marks. Third-party trademarks and service names are the property of their respective owners. References to third-party services do not imply endorsement, sponsorship, or affiliation.
11) Software, Updates, Beta & Outputs
We may provide software, hosted tools, scripts, code, workflows, templates, or configurations as part of the Services. You may use them only as permitted by these Terms, your plan, and any applicable order.
We may provide updates, upgrades, patches, maintenance, feature changes, new modules, or replacements from time to time. Some features may be labeled beta, preview, experimental, early access, or similar. Those features are provided for evaluation, may be incomplete, may change, and may be discontinued at any time.
If the Services include automated workflows, analytics, reporting, recommendations, generated outputs, or similar features, outputs may be incomplete or inaccurate. You are responsible for reviewing outputs and deciding whether they are appropriate for your use.
12) Custom Development; Ownership; Client Materials
- Client Materials: You retain ownership of your pre-existing content, data, marks, brand assets, product information, business information, and other materials you provide. You grant MTM a license to use them to provide the Services.
- MTM Materials: MTM owns and retains all rights in the Services, software, platforms, frameworks, templates, libraries, components, methods, workflows, tools, documentation, and know-how, including improvements and derivative works.
- Deliverables: Unless a signed order or statement of work states otherwise, MTM retains ownership of deliverables and grants you a nonexclusive license to use them with the Services for your internal business purposes.
If a signed order or statement of work specifies different ownership, license, acceptance, payment, delivery, or support terms, that written document controls for that project.
13) Third-Party Services & Integrations
The Services may use, connect to, or integrate with third-party services, including payment processors, hosting providers, analytics providers, communication tools, email/SMS providers, shipping carriers, tax tools, authentication providers, advertising or measurement platforms, support tools, and other applications.
- MTM-Selected Providers: We may use third-party providers to host, secure, support, measure, bill, and operate the Services.
- Client-Enabled Integrations: You may choose to connect or enable third-party services for your account, storefront, forms, events, donations, analytics, communications, or workflows. You are responsible for those choices and for complying with the third party's terms, privacy practices, fees, and rules.
- No Control: We do not control third-party services and are not responsible for their acts, omissions, downtime, data handling, fees, changes, or discontinued features.
14) Subscriptions, Payments, and Billing
- Billing Authorization: You authorize MTM and our payment processor, including Stripe where used, to charge your payment method for recurring fees, one-time fees, usage fees, taxes, implementation fees, add-ons, renewals, and other charges you authorize or that apply under your order, invoice, or plan.
- Auto-Renewal: Subscriptions renew until canceled unless your order or plan states otherwise. You must cancel before the next billing cycle to avoid the next charge. Cancellation takes effect at the end of the current billing period unless otherwise stated.
- Pricing & Changes: We may change prices, plans, included features, limits, or billing terms. We will provide advance notice of material changes when required or when they affect an active paid subscription.
- Failed Payments: We may retry charges, request an updated payment method, suspend access, limit features, pause work, or terminate Services if payment is not received.
- Taxes: You are responsible for applicable taxes, duties, and governmental charges. We may collect and remit taxes where required.
- Refunds: Unless stated otherwise in an applicable order, plan, or refund policy, or required by law, fees are nonrefundable and we do not provide credits for partial billing periods.
- Chargebacks: Please contact us first to resolve billing concerns. Unauthorized or improper chargebacks may be treated as a breach of these Terms.
Stripe: Stripe may process payment information as an independent controller for certain payment, fraud prevention, compliance, and security purposes. Stripe's terms and privacy policy apply to its processing.
15) Storefronts, Orders, Donations, Events & Transactions
The Services may help clients create storefronts, checkout flows, customer accounts, subscriptions, order records, donation pages, campaigns, event pages, ticketing, registrations, forms, reports, and related workflows. Unless MTM expressly states in writing that we are the seller, merchant of record, fundraiser, event organizer, shipper, tax collector, or fulfillment provider for a specific transaction, the client operating that page or workflow is responsible for the transaction and the related customer, donor, attendee, or end-user relationship.
- Clients are responsible for product and service descriptions, prices, taxes, coupons, refunds, returns, cancellations, chargebacks, donation receipts, event rules, shipping, pickup, fulfillment, customer support, and legal compliance for their offerings.
- Payment processor fees, bank fees, chargeback fees, taxes, shipping fees, carrier fees, app fees, integration fees, or other third-party charges may apply. MTM does not charge transaction fees on client sales unless a written order or plan expressly states otherwise.
- Orders, donations, registrations, tickets, subscriptions, and other transaction features may depend on third-party providers such as Stripe, shipping carriers, tax tools, email/SMS tools, or analytics tools.
If MTM sells its own products or services directly to you, the order, invoice, checkout, refund policy, or applicable written terms for that purchase will control.
16) Analytics, Reporting & Source-of-Truth Records
Website analytics, CRM reporting, attribution, journey tracking, traffic sources, lead tracking, cart activity, conversion reporting, and similar measurements are intended to provide directional business insight. Some data depends on tracking signals, metadata, browser behavior, consent settings, device settings, third-party services, integrations, and other sources, so analytics and reports may not be complete, exact, uninterrupted, or error-free.
For financial reporting, accounting, tax, dispute, refund, payout, and revenue verification, you should verify orders, payments, donations, subscriptions, and revenue directly in the applicable source of truth, such as Stripe, your bank, your accounting system, or another authoritative transaction record.
17) Availability, Support & Service Changes
We work to provide reliable Services, but availability can be affected by maintenance, updates, third-party providers, security events, internet issues, hosting conditions, user configuration, or events outside our control. We do not guarantee uninterrupted or error-free operation unless a separate written service level agreement expressly applies.
Support, response times, implementation work, backups, maintenance, feature access, usage limits, storage, bandwidth, and custom work may vary by plan, order, or statement of work. We may modify, suspend, discontinue, or replace features to maintain, secure, improve, or comply with law for the Services.
18) Sensitive or Regulated Data
Do not submit, configure, or use the Services to collect or process health information, financial account credentials, government IDs, precise geolocation, children's data, biometric data, criminal history, highly sensitive personal information, or other specially regulated data unless MTM has expressly approved that use in writing and any required contractual terms, safeguards, and compliance obligations are in place.
19) Disclaimer of Warranties
THE SERVICES, INCLUDING SOFTWARE, CONTENT, HOSTING, DASHBOARDS, ANALYTICS, INTEGRATIONS, BETA FEATURES, SUPPORT, AND DELIVERABLES, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MTM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT ANY OUTPUT, ANALYTICS, LEAD, SALE, CONVERSION, REVENUE, OR BUSINESS RESULT WILL BE ACHIEVED.
20) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MTM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, LOST DATA, DATA CORRUPTION, SECURITY INCIDENTS, BUSINESS INTERRUPTION, SUBSTITUTE SERVICES, OR LOST BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO MTM FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU PAID NOTHING FOR THOSE SERVICES.
21) Indemnification
You agree to defend, indemnify, and hold harmless MTM and its affiliates, officers, employees, contractors, agents, licensors, and suppliers from and against claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, User Content, Client Data, products or services you offer, transactions you process, messages you send, integrations you enable, your breach of these Terms, your violation of law or third-party rights, or disputes with your customers, donors, attendees, leads, contacts, users, vendors, employees, contractors, or other third parties.
22) Suspension and Termination
We may suspend, limit, or terminate access to the Services if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse the Services, exceed plan limits, or if suspension is needed to protect the Services, MTM, users, clients, third parties, or the public.
You may cancel as described in your account, order, plan, or by contacting us. Cancellation does not relieve you of fees already due. Sections that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnity, dispute resolution, and general provisions, will survive.
23) Modifications to Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will post updated Terms with a new effective date and may provide additional notice when required. Your continued use of the Services after updated Terms take effect means you accept the updated Terms.
24) Governing Law; Venue
These Terms and disputes arising out of or related to them or the Services are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to the arbitration section below, the state and federal courts located in Palm Beach County, Florida will have exclusive jurisdiction and venue for disputes that may be filed in court.
25) Binding Arbitration; Class Action Waiver
Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be conducted in Palm Beach County, Florida, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions: Either party may bring an individual action in small claims court or seek injunctive or equitable relief in court for claims related to intellectual property, confidentiality, security, unauthorized access, or misuse of the Services.
Class Action Waiver: Disputes must be brought only in your or our individual capacity, not as a plaintiff, class member, or representative in any class, collective, representative, consolidated, or private attorney general proceeding.
If any part of this arbitration section is found unenforceable, that part will be severed to the minimum extent necessary, and the rest of this section and these Terms will remain in effect to the maximum extent permitted by law.
26) Force Majeure
We will not be liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, labor disputes, supply chain issues, government actions, war, terrorism, civil unrest, utility failures, internet failures, hosting failures, cyberattacks, payment network issues, third-party service failures, or other events outside our reasonable control.
27) Notices
We may provide notices by email, in-app messages, account notices, posted notices, or other reasonable electronic means. Legal notices to MTM should be sent to mtm.customers@gmail.com with the subject line "Legal Notice."
28) Entire Agreement; Severability; Assignment; No Waiver
These Terms, together with any applicable order, statement of work, invoice, plan terms, posted policies, and other terms incorporated by reference, are the entire agreement between you and MTM regarding the Services. If any provision is unenforceable, it will be modified or severed to the minimum extent necessary, and the remainder will remain in effect. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. Our failure to enforce any provision is not a waiver.

Those terms are incorporated by reference when they apply.
